These Terms and Conditions ("Terms") govern your access to and use of the website at healthbusinessaccelerator.services ("the Website") and any consulting, advisory, content, training, and managed-service engagements offered by Health Business Accelerator ("HBA", "we", "us", "our"). By accessing the Website, paying for the strategy call, or entering into a paid engagement with HBA, you ("you", "the Client") agree to these Terms in full. If you do not agree, please do not use the Website or our services.

1. About us

Health Business Accelerator is a growth consulting and managed-service practice serving specialist doctors and medical clinics across India. We provide marketing strategy, content production, paid acquisition management, customer relationship management ("CRM") setup, sales training, and related advisory services. We are not a medical practice, do not provide medical advice, do not endorse any specific treatment, and do not bill insurance.

The specific scope, deliverables, cadence, fee structure, and duration of any engagement beyond the Strategy Call will be described in a separate written proposal or statement of work that you must accept in writing before the engagement begins.

3. The Rs 199 Strategy Call

The Rs 199 Strategy Call ("Strategy Call") is a paid 30-minute consultation conducted over video conferencing. By paying the Rs 199 fee through our payment processor, you confirm that:

100x value or refund: If, at the conclusion of the Strategy Call, you believe the call did not deliver actionable clarity worth at least one hundred times the fee paid, you may request a full refund of the Rs 199 within seven (7) calendar days of the call by writing to CEO@healthbusinessaccelerator.services. Refunds are processed within 7 to 10 working days to the original payment instrument. The refund is offered as a courtesy and at HBA's reasonable discretion.

Failure to attend the Strategy Call at the scheduled time without prior rescheduling forfeits the Rs 199 fee, unless rescheduling is requested by you in writing at least 6 hours before the scheduled start.

4. Paid engagements and proposals

Any engagement beyond the Strategy Call is governed by a separate written proposal or statement of work ("Engagement Agreement") signed by both parties. The Engagement Agreement will define the scope of work, deliverables, timeline, fees, payment schedule, and any specific performance terms. To the extent of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement prevails for matters covered therein.

5. Payment, refunds, and chargebacks

Payment method

Payments for the Strategy Call are processed through Razorpay. Payments for ongoing engagements are made by bank transfer, UPI, or other methods specified in the Engagement Agreement, in Indian Rupees ("INR" or "Rs") unless otherwise agreed.

Taxes

All fees are exclusive of applicable Goods and Services Tax ("GST"), which will be added where applicable in accordance with Indian tax law. HBA's GSTIN will be specified on the Engagement Agreement.

Refunds

The Rs 199 Strategy Call refund policy is described in Section 3. For paid engagements, refunds are governed by the cancellation clauses of the relevant Engagement Agreement. Once services have been rendered for a given billing cycle, fees are non-refundable.

Chargebacks

If you initiate a chargeback or payment dispute with your bank or payment provider for any fee that is not legitimately disputed under these Terms or an Engagement Agreement, HBA reserves the right to suspend all services immediately, recover the disputed amount through legal means, and pursue any reasonable costs incurred in defending the chargeback.

7. Intellectual property

Your content

You retain ownership of all content, materials, trademarks, and intellectual property you provide to HBA, including but not limited to your brand name, logos, clinical photographs, patient testimonials, and pre-existing marketing assets ("Client Materials"). You grant HBA a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and distribute the Client Materials for the limited purpose of performing the services described in these Terms or an Engagement Agreement.

HBA materials

All frameworks, methodologies, playbooks, scripts, templates, training materials, dashboards, and software developed by HBA prior to or independently of the engagement remain the sole property of HBA. You receive a non-exclusive, non-transferable licence to use these materials for the duration of the engagement and, where the Engagement Agreement says so, in perpetuity for internal use only.

Deliverables

Subject to full payment, you receive ownership of the specific creative deliverables produced for your engagement, including ad creatives, written content, video footage, funnel pages, and configured CRM data, unless explicitly carved out in the Engagement Agreement. The HBA-owned frameworks underlying those deliverables remain HBA's property.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategy, financials, patient data summaries, performance metrics, internal SOPs, and unreleased creative work. This obligation survives the termination of these Terms and any Engagement Agreement for a period of three (3) years.

Either party may disclose confidential information only when required by law, regulatory authority, or court order, and only after giving the other party reasonable opportunity to object where lawfully permissible.

9. Disclaimers

No medical advice. HBA provides marketing, sales, and operational advisory services only. Nothing on the Website or in our deliverables constitutes medical, surgical, clinical, financial, legal, or tax advice. You remain solely responsible for the clinical and medical decisions made within your practice.

No guaranteed outcomes. HBA does not guarantee any specific business result, revenue figure, lead volume, return on ad spend, search ranking, or growth metric. Individual results vary based on clinic, market, ticket size, competitive landscape, team execution, regulatory environment, and time invested. Any forecast, projection, average, or benchmark shared in proposals or marketing materials reflects historical performance for specific clients and is not a promise or projection of future results for your practice.

No endorsement of Meta, Google, or other platforms. The Website is not affiliated with, endorsed by, or sponsored by Meta Platforms Inc., Google LLC, X Corp, Snap Inc., LinkedIn Corporation, or any other third-party platform. All trademarks are the property of their respective owners.

Third-party platforms. HBA does not control changes to advertising policies, algorithms, fee structures, or feature availability of third-party platforms (Meta, Google, LinkedIn, X, Snapchat, Razorpay, WhatsApp, and others). Disruptions caused by such changes are outside HBA's control and are not grounds for a refund.

Testimonials, case studies, screenshots, and revenue figures displayed on the Website or in HBA marketing materials reflect specific client experiences obtained with consent. They are not representative of typical or average results, and are not a promise that any particular result will be achieved for you. Where client identities are disclosed publicly, written consent has been obtained. Where identities are anonymised, this is done either at client request or to honour confidentiality obligations.

12. Third-party services

The Website embeds and links to third-party services, including but not limited to YouTube (video hosting), Razorpay (payment processing), Google Fonts, Google Apps Script, and various marketing platforms. Your interactions with these services are governed by their own terms and privacy policies. HBA is not responsible for the practices of these third parties.

13. Privacy and data

HBA collects personal information that you voluntarily submit through forms, payment flows, and direct communication, including your name, email, phone number, professional details, and any messages you send us. We use this information to provide the services, schedule calls, process payments, and follow up on engagements. We do not sell, rent, or trade your personal information to third parties for their marketing purposes.

HBA complies with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Information Technology Act, 2000. You have the right to access, correct, or request deletion of your personal data held by HBA by writing to CEO@healthbusinessaccelerator.services. Reasonable efforts will be made to respond to such requests within 30 days.

14. Suspension and termination

HBA may suspend or terminate your access to the Website or any engagement, with or without notice, if you:

On termination, you must immediately cease using HBA-owned frameworks, methodologies, and training materials, except where the Engagement Agreement explicitly grants perpetual internal-use rights. Fees due for work performed up to the date of termination remain payable.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be submitted first to good-faith negotiation between the parties. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi. The language of arbitration shall be English. Subject to arbitration, the courts at New Delhi shall have exclusive jurisdiction.

16. Changes to these Terms

HBA may amend these Terms from time to time. The amended version will be posted on this page with an updated "Last updated" date. Continued use of the Website or our services after the changes take effect constitutes acceptance of the amended Terms. For material changes affecting active Engagement Agreements, we will provide reasonable notice in writing.
